Welcome to Aculis. These Terms of Use (“Terms”) govern your access to and use of Aculis websites, applications, AI services, and related products (collectively, the “Services”).

By using our Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree with these Terms, do not use the Services.

1. Who We Are

The Services are operated by Aculis Inc.

2. Description of the Services

Aculis provides AI-driven workflow, productivity, and automation tools primarily for financial professionals and organizations.

The Services may include:

• AI-assisted tools for data processing, summarization, and automation

• Integration with third-party systems (such as email, CRM, or financial software)

• Cloud-based user accounts, collaboration tools, and dashboards

We continuously improve and update our Services. Features may change or be discontinued at any time without notice.

3. Eligibility

You must:

• Be at least 18 years old (or the age of majority in your jurisdiction)

• Have the legal authority to enter into binding contracts

• Use the Services in compliance with all applicable U.S. laws and regulations

We may suspend or terminate accounts that do not meet these requirements.

4. Account Registration and Security

To access certain features, you may need an account.
You agree to:

• Provide accurate and complete registration information

• Keep your credentials secure and confidential

• Notify us immediately of unauthorized access or suspected breach

You are responsible for all activities that occur under your account.

We are not liable for losses arising from unauthorized access if you fail to safeguard your credentials.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation

• Infringe or misappropriate intellectual property or privacy rights

• Upload or transmit malware, unauthorized data, or malicious code

• Attempt to access or interfere with accounts, servers, or systems without authorization

• Use AI outputs for deceptive, fraudulent, or illegal purposes

• Reverse engineer, copy, or resell the Services without written permission

We may suspend or terminate access if we believe your use violates these Terms.

6. Data and Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information.

By using the Services, you consent to our data practices described there.

Enterprise customers may have separate data processing agreements (DPAs) that supplement these Terms.

7. AI Outputs and Disclaimers

The Aculis platform uses AI models to generate text, insights, summaries, or recommendations (“Outputs”) based on your inputs and connected data.

You understand and agree that:

• All Outputs are provided for informational purposes only.

• Outputs are not financial, legal, tax, investment, or professional advice.

• Outputs may contain inaccuracies, omissions, or biases, and should not be relied upon without independent verification.

• You are solely responsible for reviewing, validating, and verifying all Outputs before using them to make any decision, recommendation, or communication.

• Aculis assumes no liability for how Outputs are used or any actions taken based on them.

All decisions made based on Outputs are made entirely at your own risk.

8. Regulatory Disclosure for Financial Advisors

Aculis Inc. is not a registered investment adviser, broker-dealer, or fiduciary under the Investment Advisers Act of 1940, FINRA, or any other applicable securities laws or regulations.

The Services and any AI-generated Outputs:

• Do not constitute investment, legal, tax, or financial advice

• Do not recommend the purchase or sale of any security or financial product

• Are not intended to satisfy any regulatory recordkeeping or compliance obligations on their own

Users who are registered financial professionals remain fully responsible for ensuring that their use of the Services and any communications or advice to clients comply with all applicable SEC, FINRA, state, and firm-level regulations.

By using Aculis, you acknowledge that all information generated by the system is informational only and must be independently reviewed and verified before being relied upon or communicated to clients.

9. Intellectual Property

Except for content you upload or connect, all materials in the Services — including code, designs, logos, interfaces, documentation, models, and software — are owned by Aculis or its licensors and are protected by copyright, trademark, and other U.S. laws.

You may not copy, modify, distribute, or create derivative works without our prior written consent.

All Aculis trademarks and logos are the property of Aculis Inc.
You may not use them without our written permission.

10. Third-Party Services and Integrations

Our Services may connect to third-party products or systems such as email, CRM, or portfolio management tools.

Aculis is not responsible for the content, accuracy, or performance of third-party services.
Your use of third-party integrations is governed by their own terms and privacy policies.

We are not liable for damages or losses resulting from third-party systems or failures.

11. Payment and Billing

If you purchase a paid plan or subscription:

• You authorize Aculis (or its payment processor, Stripe) to charge your payment method on a recurring basis until cancellation.

• Fees are non-refundable unless required by law or stated otherwise.

• We may change pricing upon renewal or with reasonable notice.

Taxes, duties, or government charges are your responsibility unless otherwise stated.

12. Termination and Suspension

You may stop using the Services at any time.

We may suspend or terminate your access immediately if:

• You breach these Terms or applicable laws

• We are required to do so by law or regulation

• Continuing access would pose security, compliance, or operational risks

Upon termination:

• Your right to access the Services ends immediately

• We may retain or delete your data as described in our Privacy Policy and applicable regulations

Certain sections of these Terms (such as Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) survive termination.

13. Disclaimers

The Services, including all AI-generated Outputs, are provided “as is” and “as available.”

Aculis makes no warranties or representations, express or implied, including:

• Accuracy, completeness, or reliability of any AI-generated Outputs

• Continuous availability, error-free operation, or security of the Services

• Fitness for a particular purpose or non-infringement

All Outputs are informational only and must be verified by the user before use.
You assume full responsibility for how you use or act upon any information or recommendations produced by the Services.

14. Limitation of Liability

To the maximum extent permitted by law:

• Aculis and its affiliates, directors, employees, and suppliers shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

• Our total liability for any claim related to the Services will not exceed the amount you paid (if any) for the Services in the 12 months prior to the event giving rise to the claim.

Some jurisdictions do not allow limitations on implied warranties or damages. In such cases, these limitations apply only to the extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Aculis, its affiliates, and their officers, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising out of:

• Your use or misuse of the Services or AI Outputs

• Your violation of these Terms or applicable law

• Any content or data you upload or process through the Services

16. Compliance and Regulatory Use

Aculis is designed for business users in the financial services industry.
You are responsible for ensuring that your use complies with your organization’s policies and applicable U.S. regulations.

Aculis provides administrative, technical, and physical safeguards appropriate for financial data, but final compliance responsibilities rest with the customer organization.

17. Modifications to the Services or Terms

We may modify or update these Terms at any time.
When changes are material, we’ll provide notice via email or in-app notifications.

Your continued use after changes take effect constitutes acceptance of the updated Terms.

18. Export and Legal Compliance

You may not use or export the Services in violation of any U.S. export laws or regulations.
You represent that you are not located in a country subject to U.S. embargo or listed on any restricted party list.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, USA, and you consent to their jurisdiction.

21. Entire Agreement

These Terms, along with our Privacy Policy and any supplemental agreements, constitute the entire agreement between you and Aculis regarding your use of the Services and supersede any prior agreements.
